These Terms of Use ("Terms") govern your access to and use of the VideoDL website (videodl.app) and API services (collectively, the "Service") provided by VideoDL ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Service Description

VideoDL provides an API service that enables users to download publicly available video and audio content from YouTube, along with associated transcripts and metadata. Content is delivered to user-specified cloud storage destinations.

Important (Bulk Download & API): For our bulk download and API services, VideoDL processes only publicly available content, content that is freely accessible to any internet user without authentication, login, or payment. We do not circumvent access controls, paywalls, age-gates (for non-public content), or privacy settings.

Video Migrations are different. Our migration service moves content on your behalf between platforms you control, for example, moving your own course from Skool to Teachable. For a migration, you must be the owner of the content (or have the rights holder's permission), and you grant us access to your source account so that we can transfer your own content. We access gated, private, or login-protected content only under this authorization, and only to carry out the migration you request.

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Use of the VideoDL Service does not grant you any ownership rights or licenses to the content you download. Videos, audio, and other media available on YouTube may be protected by copyright, trademark, and other intellectual property rights held by the original creators or rights holders.

7. Fair Use & Research Considerations

Many jurisdictions recognize exceptions to copyright for purposes such as research, education, criticism, commentary, and transformative use (e.g., training machine learning models). The applicability of these exceptions depends on your specific use case, jurisdiction, and the nature of the content. VideoDL does not provide legal advice on whether your specific use qualifies as fair use.

Refund eligibility depends on the service. In every case a free trial or free test is available, so please evaluate the Service before paying. Except as set out below, fees are non-refundable, save where a refund is required by applicable law.

11.1 Bulk Download

Bulk download orders are non-refundable. Pricing is volume-based, the larger your order, the better the per-video rate, and your rate is set from the initial total order you sign up for. Please make sure to use your full purchased usage: we do not refund unused credits, and the price is not recalculated if you end up using fewer videos than you ordered.

11.2 API

For API plans, a refund may be requested only if both of the following are true: your usage is below 5% of your plan, and the request is made within the first 7 days of the billing month.

11.3 Video Migrations

Video migration orders are non-refundable. Before you commit, we offer a free transfer of a few files so you can confirm the result meets your needs first.

13. Dependence on YouTube & Service Availability

The Service depends on YouTube. YouTube downtime, or changes and updates YouTube makes to its platform, may temporarily disrupt the Service. When YouTube changes, we may need to update our processes, and the time required depends on the nature of the change. Such changes are rare, and our developers work continuously to stay up to date.

The Service is provided on a best-effort basis. We do not guarantee any particular uptime or availability, and we are not responsible for downtime or disruption caused by YouTube, Cloudflare, our hosting providers, or other third parties outside our reasonable control. We reserve the right to modify, suspend, or discontinue the Service at any time with reasonable notice.

We do not provide 24/7 support. We aim to respond as soon as possible, typically via WhatsApp or email.

15. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIDEODL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold harmless VideoDL, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:

18. Termination & Account Suspension

We may suspend or terminate your access to the Service at any time if we reasonably believe you have violated these Terms, our Acceptable Use Policy, or applicable law. We also reserve the right to suspend any account for abuse, and to refuse or revoke free trials where we detect abuse or attempts to create multiple accounts to obtain additional free trials. Upon termination, your right to use the Service ceases immediately.

19. Governing Law

These Terms are governed by and construed in accordance with the laws of the country in which VideoDL is operated, without regard to its conflict-of-law provisions. Any disputes arising under these Terms are subject to the exclusive jurisdiction of the competent courts of that country.

VideoDL is an online service available worldwide. Regardless of where you access the Service from, you remain responsible for complying with the laws that apply to you in your own country or region.

20. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on our website at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
