Terms of Use

These Terms of Use ("Terms") govern your access to and use of the VideoDL website (videodl.app) and API services (collectively, the "Service") provided by VideoDL ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Service Description

VideoDL provides an API service that enables users to download publicly available video and audio content from YouTube, along with associated transcripts and metadata. Content is delivered to user-specified cloud storage destinations.

Important (Bulk Download & API): For our bulk download and API services, VideoDL processes only publicly available content, content that is freely accessible to any internet user without authentication, login, or payment. We do not circumvent access controls, paywalls, age-gates (for non-public content), or privacy settings.

Video Migrations are different. Our migration service moves content on your behalf between platforms you control, for example, moving your own course from Skool to Teachable. For a migration, you must be the owner of the content (or have the rights holder's permission), and you grant us access to your source account so that we can transfer your own content. We access gated, private, or login-protected content only under this authorization, and only to carry out the migration you request.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account Responsibilities

• You are responsible for maintaining the confidentiality of your API keys and account credentials.
• You are responsible for all activity that occurs under your account.
• You must promptly notify us of any unauthorized use of your account.
• You may not share, sell, or transfer your API keys to third parties without our consent.

4. Permitted Use

You may use the Service to:

• Download publicly available YouTube video and audio content for lawful purposes.
• Extract transcripts and metadata from publicly available videos.
• Build datasets for machine learning, AI training, academic research, and analytics, subject to applicable copyright and intellectual property laws.

5. Prohibited Use

You may not use the Service to:

• Download private, unlisted, or access-restricted content.
• Redistribute, resell, or publicly re-host downloaded content in a manner that infringes copyright.
• Circumvent any technological protection measures or access controls.
• Download content for the purpose of harassment, defamation, or any illegal activity.
• Violate the intellectual property rights of content creators or third parties.
• Use the Service in any way that violates applicable local, state, national, or international law.
• Attempt to reverse-engineer, decompile, or extract the source code of the Service.
• Exceed your plan's rate limits or attempt to bypass usage restrictions.
• Use the Service to collect personal data about individuals without a lawful basis.

6. Intellectual Property & Content Rights

Use of the VideoDL Service does not grant you any ownership rights or licenses to the content you download. Videos, audio, and other media available on YouTube may be protected by copyright, trademark, and other intellectual property rights held by the original creators or rights holders.

You are solely responsible for ensuring that your use of downloaded content complies with:

• Applicable copyright and intellectual property laws in your jurisdiction.
• Fair use / fair dealing provisions, where applicable.
• Any Creative Commons or other licenses applied by the content creator.
• YouTube's Terms of Service, to the extent applicable to your use case.

We strongly recommend consulting with legal counsel to ensure your intended use is lawful, particularly for commercial applications and large-scale data collection.

7. Fair Use & Research Considerations

Many jurisdictions recognize exceptions to copyright for purposes such as research, education, criticism, commentary, and transformative use (e.g., training machine learning models). The applicability of these exceptions depends on your specific use case, jurisdiction, and the nature of the content. VideoDL does not provide legal advice on whether your specific use qualifies as fair use.

8. Copyright Complaints

We respect intellectual property rights and follow a DMCA-style takedown process. If you believe that content processed through our Service infringes your copyright, please see our Copyright / DMCA Policy for instructions on how to submit a takedown notice.

9. Service Limits & Defaults

The following default limits apply to all accounts. Most can be raised, please contact us to request higher allowances:

• Default video quality: 4K. Higher resolutions (such as 8K) are available on request.
• Maximum video file size: 100 GB per video.
• Maximum audio file size: 5 GB per file.
• Maximum video duration: 30 hours per video.
• Order size: no fixed limit on the number of videos per order.

We do not guarantee that every publicly available video can be downloaded; availability depends on technical factors outside our control.

9.1 Content we do not support (Bulk Download)

For bulk downloads, we do not support the following, and such videos are skipped:

• Live streaming videos that have not yet ended.
• Membership / members-only videos.
• Private videos.
• Videos removed for Terms of Service violations.
• Unavailable videos.
• Videos deleted from YouTube.

Other videos may also fail where YouTube returns a permanent error.

9.2 Skipped or failed due to your plan limits

Based on the limits on your plan, the following are also skipped or marked as failed:

• Videos that exceed your maximum duration.
• Videos that exceed your maximum file size.
• Requested formats that are not available for a given video.

10. Credits, Payment & Billing

• Paid bulk plans are purchased as credits. Each video processed counts as one (1) credit, regardless of the outcome.
• A credit is consumed whether the video downloads successfully, fails or returns an error after a processing attempt, or you requested only metadata, comments, or live chat without downloading the video or audio. Re-processing a video that was already downloaded also consumes a credit.
• Credits are valid for 90 days from the date of purchase. Any credits you have not used within those 90 days expire and are forfeited.
• High priority and dedicated resources apply only while your bulk order is actively being processed. Once a bulk order is complete, any remaining credits are processed at standard priority, the high-priority, dedicated allocation does not continue after the order finishes.
• Monthly API plans are billed monthly or annually, as selected at purchase; included quota resets each billing cycle and does not roll over.
• We reserve the right to change pricing with 30 days' notice to existing customers.

11. Refunds

Refund eligibility depends on the service. In every case a free trial or free test is available, so please evaluate the Service before paying. Except as set out below, fees are non-refundable, save where a refund is required by applicable law.

11.1 Bulk Download

Bulk download orders are non-refundable. Pricing is volume-based, the larger your order, the better the per-video rate, and your rate is set from the initial total order you sign up for. Please make sure to use your full purchased usage: we do not refund unused credits, and the price is not recalculated if you end up using fewer videos than you ordered.

11.2 API

For API plans, a refund may be requested only if both of the following are true: your usage is below 5% of your plan, and the request is made within the first 7 days of the billing month.

11.3 Video Migrations

Video migration orders are non-refundable. Before you commit, we offer a free transfer of a few files so you can confirm the result meets your needs first.

12. Processing Priority, Add-ons & Throughput

• Processing throughput depends on the size of your initial order and the average duration and file size of your videos. For orders of at least 50,000 videos, we typically maintain a minimum of approximately 15,000 videos per day. This rate assumes a standard video-only download at up to 4K, with no add-ons (such as comments, live chat, or video analysis); add-ons or higher resolutions take longer to process and reduce this rate.
• You may request additional dedicated resources to increase daily throughput; we will provide a quote based on your specific videos.
• Selecting add-ons (such as comments or live chat) or higher resolutions (4K or 8K) can significantly increase processing time. We do not automatically allocate extra resources to offset this delay. You may, however, purchase additional dedicated resources to speed up processing.

13. Dependence on YouTube & Service Availability

The Service depends on YouTube. YouTube downtime, or changes and updates YouTube makes to its platform, may temporarily disrupt the Service. When YouTube changes, we may need to update our processes, and the time required depends on the nature of the change. Such changes are rare, and our developers work continuously to stay up to date.

The Service is provided on a best-effort basis. We do not guarantee any particular uptime or availability, and we are not responsible for downtime or disruption caused by YouTube, Cloudflare, our hosting providers, or other third parties outside our reasonable control. We reserve the right to modify, suspend, or discontinue the Service at any time with reasonable notice.

14. Support

We do not provide 24/7 support. We aim to respond as soon as possible, typically via WhatsApp or email.

15. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIDEODL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

17. Indemnification

You agree to indemnify and hold harmless VideoDL, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of any third-party rights, including intellectual property rights.
• Any content you download or how you use downloaded content.

18. Termination & Account Suspension

We may suspend or terminate your access to the Service at any time if we reasonably believe you have violated these Terms, our Acceptable Use Policy, or applicable law. We also reserve the right to suspend any account for abuse, and to refuse or revoke free trials where we detect abuse or attempts to create multiple accounts to obtain additional free trials. Upon termination, your right to use the Service ceases immediately.

19. Governing Law

These Terms are governed by and construed in accordance with the laws of the country in which VideoDL is operated, without regard to its conflict-of-law provisions. Any disputes arising under these Terms are subject to the exclusive jurisdiction of the competent courts of that country.

VideoDL is an online service available worldwide. Regardless of where you access the Service from, you remain responsible for complying with the laws that apply to you in your own country or region.

20. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on our website at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
